SPECIFICATIONS OF THE PUBLIC AUCTION of the LICENCE de IVe CATEGORIE (débit de boisson) Dependent on judicial liquidation SAS VAP SENART - Trading name: VAPIANO 4th CATEGORY LICENSE No. 13788 Terms and conditions for the sale by public auction of a 4th category liquor license formerly operated at 3 allée du Préambule in LIEUSAINT (77566), as part of the judicial liquidation of SAS VAP SENART, under the name VAPIANO, declared in judicial liquidation by the Tribunal de Commerce de PARIS by judgment dated February 3, 2026, with SCP BTSG² in the person of Me Stéphane GORRIAS as judicial representative, residing at 15 rue de l'Hôtel de ville CS 70005 92522 NEUILLY-SUR-SEINE. We, the undersigned, Maître Olivier LASSERON, Commissaire de Justice à Paris, residing at 46, rue de la Victoire, 75009 PARIS. By virtue of the order issued by the Commissioner of the PARIS Commercial Court, authorizing the sale by public auction, We have drawn up the present specifications containing the clauses and conditions in order to proceed with the auction of a licence IV, part of the above-mentioned judicial liquidation. I - DESCRIPTION OF THE OBJECT OF SALE The licence IV belonged to an establishment operated by Mr Salvatore PERRI in his capacity as president of GIE VAPIANO, manager of SAS VAP SENART, 3 allée du Préambule in LIEUSAINT (77566). The items offered for sale include a valid operating license, transferable under the conditions of article 47 of law N°2019-1461 of December 27, 2019 and article L3332-11 of the French Public Health Code: "An operating on-premises public house may be transferred within the department in which it is located. Requests for transfer authorizations are submitted to the State representative in the département. The mayor of the commune where the premises are located and the mayor of the commune to which the premises are transferred must be consulted. Where a commune has only one 4th category public house, this may only be transferred with the approval of the commune's mayor. "By way of derogation from the first paragraph, an on-premises public house may be transferred to a department bordering on the one in which it is located, under the conditions set out in the first paragraph. Requests for transfer authorizations are submitted to the State representative in the département to which the outlet is to be transferred. A public house transferred in accordance with the first sentence of this paragraph may not be transferred to a new département until eight years have elapsed. "Notwithstanding the first paragraph of this article and article L. 3335-1, on-premises public houses may be transferred beyond the boundaries of the département in which they are located to establishments, particularly tourist establishments, meeting criteria set by decree. " In accordance with the provisions of article L.3332-4 of the French Public Health Code: - declare the transfer-translation of the license into the new business to the Mairie or the Préfecture de Police in Paris, 15 days in advance. - tax declaration of this transfer to the main customs office. II - ORIGIN OF OWNERSHIP : The licence IV was previously operated by Mr Salvatore PERRI in his capacity as president of GIE VAPIANO, manager of SAS VAP SENART, 3 allée du Préambule in LIEUSAINT (77566). III - PRICE : The above-mentioned IVth category license will be put up for sale at a price of ten thousand euros (10,000 euros). IV - PLACE AND DATE OF AUCTION : The auction will take place on 22/04/2026, on the premises of SAS VAP SENART, 3 allée du Préambule in LIEUSAINT (77566). at 10:30 a.m. V - PAYMENT OF THE AWARD PRICE : The successful bidder will be required to pay the hammer price, together with all costs, fees and incidental expenses, immediately in cash to Maître Olivier LASSERON by bank transfer or credit card. VI - CONDITIONS OF SALE : The sale will take place under the following terms and conditions: - OWNERSHIP AND ENJOYMENT : The present transfer will take effect from the date of the award. The successful bidder will take all necessary steps, in particular at the Town Hall of departure, the Town Hall of arrival, the Prefecture of arrival and at the main Customs office. For its part, the aforementioned liquidation company will provide the administration with any supporting documents it may require to regularize the transfer of the license.
